Terms of Service
Last updated: October 25, 2026
This is an English translation for convenience. If there is any discrepancy, the Japanese version prevails.
These Terms of Service (these "Terms") set out the conditions for using Ritomira by NeXus AI (the "Service") provided by NeXus AI LLC ("we", "us" or "our"). Anyone who uses the Service (a "User" or "you") agrees to these Terms and our Privacy Policy.
Article 1 (Application)
- These Terms apply to every aspect of the relationship between you and us concerning the use of the Service.
- Usage rules, price lists and other provisions we publish in the Service ("Supplementary Rules") form part of these Terms. If these Terms and the Supplementary Rules differ, the Supplementary Rules prevail.
Article 2 (Definitions)
- "Platform" means X (formerly Twitter), Instagram, Threads, Facebook or any other social network the Service supports connecting to.
- "Connected Account" means an account on a Platform that you have connected to the Service. For Facebook, this means a Facebook Page you manage, with each Page treated as a separate Connected Account.
- "User Content" means posts, text, images, videos and other information you enter into, upload to or connect to the Service.
- "Paid Plan" means a plan for using the Service for which we charge a fee.
Article 3 (The Service)
- The Service lets you import and analyze posts from Connected Accounts, create and schedule posts, get AI suggestions and AI-created text, images and videos, work as a team, connect AI apps (MCP), and use other features. The features available depend on your plan.
- We may change the Service or add or discontinue features. If a change or discontinuation would significantly disadvantage you, we will give notice in the Service a reasonable time in advance.
Article 4 (Registration)
- You register for the Service using a sign-in method we specify (such as signing in with a Platform account). Registration is complete when we approve it.
- We may refuse registration if we determine that the applicant:
- Has previously violated these Terms
- Has provided false, mistaken or incomplete registration information
- Is under 13, or is under 18 without the consent of a legal guardian
- Is, or we determine is associated with or involved with, an antisocial force (such as an organized crime group or its members, or anyone equivalent)
- Is otherwise reasonably determined by us to be unsuitable for registration
Article 5 (Account Management)
- You are responsible for managing your Service account and Connected Accounts properly. You must not let anyone else use, lend or transfer your account.
- If you learn that someone else is using your account without permission, please contact us immediately.
Article 6 (Connecting Platforms)
- You represent that you are duly authorized to connect each Connected Account.
- When using Connected Accounts, you must comply with each Platform's terms of service and other rules. The Service is operated in accordance with the X Developer Agreement and Policy, the Meta Platform Terms and the developer terms of each other Platform.
- We use the permissions of your Connected Accounts only for the actions you instruct the Service to take (such as posting, scheduling posts and retrieving information).
- You can disconnect at any time (see Article 10 of the Privacy Policy for how). Once disconnected, features for that Connected Account are no longer available.
- Changes to a Platform's specifications, the suspension or restriction of its API, or other decisions by a Platform operator may make all or part of the Service unavailable.
- Facebook connections are for Pages on which you have the management permissions needed to publish posts and retrieve information. Posting to personal profiles or groups is not supported. You may connect multiple Pages in one authorization, and each Page counts toward your plan's social account limit. Available features depend on your plan, the permissions granted and API support.
Article 7 (Paid Plans and Fees)
- The fees, payment methods and payment timing for Paid Plans are as set out on the Service's pricing page and in the Notation based on the Act on Specified Commercial Transactions. Payments are processed by our payment processor, Stripe.
- A Paid Plan renews automatically every month until you cancel it. If a free trial is offered, fees start the day after the trial ends unless you cancel before then.
- If we change our fees, we will give notice in the Service or by other means at least 30 days before the change takes effect.
Article 8 (Cancellation, Refunds and Offers)
- You can cancel your Paid Plan at any time from the Service's settings. After you cancel, you can keep using the Paid Plan until the end of the period you have already paid for, and no further fees are charged.
- Because of the nature of the Service, fees you have paid are not refunded. However, if you could not use the Service for reasons attributable to us, we will refund the fees for that period, extend your usage period, or take other appropriate action.
- If you switch to a higher Paid Plan, the change takes effect immediately, and the difference for the rest of the billing period is prorated and charged at the time of the change. If you switch to a lower Paid Plan, the change takes effect at the end of the current billing period, and you can keep using your current plan until then. In that case, no refund is given for the difference.
- When you cancel, we may offer discounts, a pause or other offers. The details and conditions of an offer are as shown when it is offered. A discount offer is limited to once per person. To prevent the same person from using offers repeatedly, we check the records of offers used described in our Privacy Policy.
- While your subscription is paused, no fees are charged and you can use the Service on the free plan. When the pause ends, your original Paid Plan resumes automatically.
Article 9 (User Content)
- Rights in User Content belong to you or the rightful owner.
- You grant us permission to store, copy, process (including AI analysis) and transmit User Content to the extent necessary for us to provide the Service.
- You represent that your User Content does not infringe the rights of any third party.
Article 10 (AI Output)
- The Service uses AI to create analysis results, suggestions, text, images, videos, audio and similar output ("AI Output"). By its nature, AI Output may contain inaccurate or untrue content, or content similar to existing works. We do not guarantee that AI Output is accurate, complete or useful, or that it does not infringe the rights of third parties.
- You must review AI Output and use it at your own judgment and responsibility. Please check AI Output before posting it to a Platform.
- To the extent permitted by law, rights in AI Output belong to you, and we make no claim to them.
Article 11 (Posts, Scheduled Posts and Automatic Messages)
- You decide the content and timing of posts and scheduled posts made from the Service and are responsible for their content. The same applies to actions you authorize through AI app integration (MCP).
- You decide the content and sending conditions of direct messages the Service sends according to rules you set up (such as automatic replies to keywords and step sequences), and you are responsible for their content. You must comply with the Platforms' rules on messaging (including the period in which replies are allowed and honoring recipients' requests to stop messages).
- When we accept a scheduled post, we convert or remake the attached images and videos to meet the requirements of the destination platform (file format, resolution, frame rate, audio, etc.) before posting them. We do not make conversions that change the length, aspect ratio or other content; for images and videos that do not meet the requirements, we tell you the reason before accepting the scheduled post.
- The retention periods for images and videos attached to posts are as set out in the Privacy Policy. The Service is not intended for long-term storage of images and videos, so you are responsible for keeping your own copies of the images and videos you need.
- A scheduled post may not be published, or may not be published at the scheduled time, because of a Platform outage or change, the revocation, suspension or restriction of a Connected Account, or other reasons beyond our control.
- We do not guarantee that using the Service will achieve any particular result, such as a certain number of followers, impressions or engagements.
Article 12 (Prohibited Conduct)
When using the Service, you must not:
- Violate laws or public order and morals, or engage in conduct related to crime
- Violate a Platform's rules (including circumventing restrictions on automation, spamming, or obtaining engagement by improper means)
- Connect someone else's account without authorization, or impersonate anyone
- Infringe the copyrights, trademarks, portrait rights, privacy or other rights of others
- Post content that defames, discriminates against or threatens others
- Promote products or services without disclosing that it is advertising (stealth marketing), or make representations that mislead people into thinking products or services are significantly better or more advantageous than they are
- Place an excessive load on the Service's servers or networks, or interfere with its operation
- Gain unauthorized access, exploit vulnerabilities in the Service, or reverse engineer the Service
- Collect, store or use information about others obtained through the Service beyond the purposes of the Service
- Recreate accounts or use multiple accounts in order to receive offers repeatedly
- Provide any benefit, directly or indirectly, to antisocial forces
- Engage in any other conduct that we reasonably determine to be inappropriate as equivalent to the above
Article 13 (Suspension of the Service)
- We may suspend or interrupt all or part of the Service without prior notice in the following cases:
- To maintain, inspect or update the Service's systems
- When providing the Service becomes difficult due to an earthquake, lightning, fire, power outage, natural disaster or other force majeure
- When computers or communication lines stop due to an accident
- When a Platform or an external service we use stops or is restricted
- When we otherwise reasonably determine that providing the Service is difficult
- For planned maintenance and similar work, we will give notice in the Service in advance where possible.
Article 14 (Restriction of Use and Removal)
- We may restrict all or part of your use of the Service, or remove your registration, if:
- You violate these Terms
- Your registration information is found to be false
- You fail to pay fees
- We otherwise reasonably determine that your use of the Service is inappropriate
- Except in an emergency, we will try to tell you the reason before taking the measures above.
Article 15 (Deleting Your Account)
- You can delete your account and stop using the Service at any time from the Service's settings. If you delete your account, your Paid Plan ends at that moment even if part of your paid period remains, and fees are not refunded. If you want to keep using the Service until the end of the period, cancel only your Paid Plan before deleting your account.
- Information after you delete your account is handled as set out in Article 10 of the Privacy Policy.
Article 16 (Disclaimer of Warranties)
We do not warrant that the Service will fit your particular purposes, have the functions, accuracy or usefulness you expect, or be free from defects. However, if we learn of a defect in the Service, we will make reasonable efforts to fix it.
Article 17 (Limitation of Liability)
- If we are liable for damage you suffer in connection with the Service on the basis of our breach of obligation or tort, we will compensate only ordinary and direct damage you actually suffered, up to the total fees you paid us for the Service in the 12 months before the month in which the damage occurred.
- The limitation above does not apply where the damage is caused by our intent or gross negligence. If you are a consumer under Japan's Consumer Contract Act and that Act or other laws do not permit the limitation above, the law applies.
- We are not liable for damage you suffer because a Platform or other third-party service beyond our control stops, changes its specifications or makes a decision, unless we acted with intent or gross negligence.
- Disputes between you and other Users or third parties are to be resolved between the parties, unless we are at fault.
Article 18 (Changes to These Terms)
- In accordance with Article 548-4 of Japan's Civil Code, we may change these Terms where: (a) the change is in the general interest of Users; or (b) the change does not go against the purpose of the contract and is reasonable in light of the need for the change, the appropriateness of the changed content and other circumstances relating to the change.
- When we change these Terms, we will make the changed Terms and their effective date known, before the effective date, by a notice in the Service or other appropriate means. For changes that are disadvantageous to Users, we will do so at least 30 days before the effective date.
Article 19 (Personal Information)
We handle personal information obtained through your use of the Service appropriately, in accordance with our Privacy Policy.
Article 20 (Notices and Communications)
We give notices to you by displaying them in the Service, sending them to your registered email address, or other means we consider appropriate. Please contact us through the contact form or at support@nexus-ai.jp.
Article 21 (No Assignment)
You may not assign or pledge your position or rights or obligations under these Terms to any third party without our prior written consent.
Article 22 (Severability)
If any provision of these Terms, or any part of it, is held invalid or unenforceable under the Consumer Contract Act or other laws, the rest of these Terms remains in full force and effect.
Article 23 (Governing Law and Jurisdiction)
- These Terms are governed by the laws of Japan.
- Any dispute relating to the Service is subject to the exclusive jurisdiction of the district court with jurisdiction over our head office as the court of first instance. However, if you are a consumer under the Consumer Contract Act, this does not prevent jurisdiction as provided by law.
